Nominee service for closed-end funds with capital calls

Gain access to exclusive opportunities with the confidence of a qualified banking partner

The nominee service offered by Axion SWISS Bank allows asset managers, family offices, and high net worth investors to access closed-end funds with a capital call structure. In these vehicles, capital is not paid in full at the time of subscription, but is instead drawn progressively over the life of the fund.

Thanks to this service, even complex instruments typically reserved for large institutional investors become accessible in a secure, transparent, and simplified manner

Most common investment strategies
  • Private Equity (PE): involves investing directly in the capital of unlisted companies, with the aim of increasing the value of the company over time and achieving a significant return at the time of sale (exit). PE funds invest in the capital of companies and directly influence their strategic decisions, aiming to improve their performance and profitability. With low correlation to public stock markets, this strategy can reduce volatility compared to stocks and bonds.
  • Private Debt Funds invest in loans to companies (especially SMEs) that do not have access to traditional credit channels. These funds typically offer higher interest rates compared to traditional instruments (e.g., listed corporate bonds).
  • Venture Capital Funds are investment vehicles that raise capital to invest in start-ups and innovative companies, with the aim of achieving a high return at the time of exit, whether through an IPO, acquisition, or sale of shares
How the nominee service works:

Axion has developed an open architecture model to enable investors to access these complex and not easily accessible instruments.

The client chooses the fund and Axion takes care of completing the investment process and maintaining the relationship with the fund.

Throughout the life of the product, Axion also manages ongoing interactions with the fund, including the accounting of investment transactions, profit distributions, and divestments.

The use of Axion as a nominee ensures confidentiality in compliance with current regulations, while relieving the investor, asset manager, or family office of burdensome administrative tasks.

Advantages of having the Bank as Nominee:
  1. For asset managers and family offices: pooled management of multiple clients: It is possible to aggregate the interests of multiple clients and make a single investment, thereby reaching the minimum amounts required, which often represent a barrier to entry. In this way, such products can also be made accessible for amounts below the minimum threshold.
  2. Confidentiality: The nominee acts in its own name but on behalf of the actual investor
  3. Administrative simplification: The nominee centralizes the management of documentation, communications, voting procedures, and signatures.
  4. Facilitation of Due Diligence: A bank nominee is familiar with the strict due diligence procedures required to invest in these financial instruments. These procedures are not carried out for each individual client but are centralized through the nominee.

The nominee is not the ultimate beneficial owner (UBO). Therefore, in many jurisdictions (particularly within the EU under AMLD), certification of the UBO may be required.

Axion SWISS Bank offers this service for funds domiciled in various jurisdictions (excluding the United States). Each request is analyzed by our specialists and, if approved, the investment process is carried out.
